Clinic Mastery Terms of Service 

 

We’re humans, and we love helping people. We’ve tried to make these Terms of Service easy to read and understand because they're an important part of your agreement with us.

Just so everything is clear, here is a summary of the important points:

Clinic Mastery is a membership program with no lock-in contracts. The best thing to do is speak with us if you have any questions about your membership.

We are here to coach and mentor you to your highest level of success, and part of that is a commitment from you that you are fully invested in your program. 

 We are dedicated to your success, which is why we don’t offer refunds, holds or pauses on your membership. We know from experience that if refunds or pauses are available, it’s too easy to have “one foot in” the work and “one foot out” the door. You’ve got to be in 100% to make it happen, just as we’re in 100% for you.

 You need to give 60 days notice to end your membership. During this notice period your scheduled payments will continue, and we will continue working with you until the end of the final billing period. For example, if you have a monthly subscription, you can expect 2 further payments to be made after you log your notice. 

 If you choose to end your membership, there is a structured process which allows us to complete outstanding projects, and prepare you for life after Clinic Mastery. You can read more about it here

 

Terms of Service  

The accountability, consulting, workshops, written and video material that constitutes the Clinic Mastery Program, is the property of Clinic Mastery Pty Ltd (“we”, “our”, “us”, “CM”). The information and other material available from the Program come from a number of sources including our personal experiences, third parties who have given permission for use of their material, and material copied under statutory license. Accordingly the information and material in this Program is copyright © Clinic Mastery Pty Ltd. 

Therefore no part of the Program may in any form or by any electronic, mechanical, photocopying, recording, or any other means be reproduced, stored in a retrieval system or be broadcast, sold or transmitted without the prior permission of the publisher, Clinic Mastery Pty Ltd. No part of the Program may be reproduced in any way without prior written permission of Clinic Mastery Pty Ltd. We reserve the rights to undertake whatever action is available to is to protect our intellectual property.  

Nature of our Relationship

  • CM offer educational services through various programs. These programs include consulting, mastermind and mentoring sessions for your planning, education and motivation to grow your clinic. CM represents, and by acknowledging and signing this Agreement, you are enrolling into CM and acknowledge that you understand and agree that these consulting sessions, mastermind sessions and online lessons are not psychological counselling, relationship counselling, financial advising, estate planning nor any other type of counselling or therapy sessions. 
  • In addition, by acknowledging and signing this Agreement, you acknowledge that CM Consultants are not financial advisors nor are they brokers/dealers. No content provided by either the accountability or the educational course materials is intended as financial advice and CM does not recommend any particular investment. 
  • If you feel you need professional counselling or therapy, it is your responsibility to seek the help of a licensed professional. 
  • When we refer to Consultants, we are referring to CM team members who have a role in coaching, mentoring, or generally being present as leaders in the CM community.
  • From time to time consulting and mastermind sessions may be monitored or recorded as part of our ongoing quality process and training for the CM Consultants.  

Cancellation Policy

  • Cooling Off Period. You may cancel the initial transaction with CM without penalty or obligation by submitting an email to [email protected] within 72 hours of this transaction. 
  • Pausing Your Membership. The option to put this Agreement on hold or pause is not available. 
  • Ending Your Membership. In the event that you decide to cancel this Agreement, you must provide 60 days written notice to CM, stating the reasons that you have decided to cancel. In the event you decide to cancel this Agreement, CM will log your notice date, and count forward 60 days. We will retain any payments made for your current billing cycle, and will continue to work with you until the end of the 60 day period. For example, if you have a monthly subscription, you can expect 2 further payments to be made after you log your notice. 
  • Availability (where relevant). When purchasing the Program, you are not purchasing the services of an individual Consultant. At times your assigned Consultant may not be available to conduct any one or all sessions in which case another Consultant will be assigned. You are not entitled to a refund if the originally assigned Consultant is not available. 
  • Account Activity. From the date of your execution of this Agreement, you have 30 days to complete your induction session. If (i) you fail to complete your first session within 30 days, or (ii) you fail to attend any sessions for at least 60 consecutive days, or (iii) you do not make your monthly payment (if any) by the agreed upon dates of your sessions and after 30 days you do not make your payments to bring your account up to current, then CM shall have the right to cancel this Agreement. 
  • Program Inclusions Ceased. In the event that you decide to cancel this Agreement, your access and use of the Program Inclusions (outlined in the relevant program documentation) will be ceased, revoked or made null and void. The only exception to this will be access and ownership of your Google Site Intranet Hub (if applicable).  
  • Non Transferable and Non Refundable. Memberships with CM may not be sold, reassigned or otherwise transferred, in whole or part, and are non-refundable.

Modifications to these Terms

We may revise these Terms of Service from time to time to better reflect:

(a) changes to the law,

(b) new regulatory requirements, or

(c) improvements or enhancements made to our Services.

  • If an update affects your use of the Terms of Services or your legal rights as a user of our services, we’ll notify you prior to the update's effective date by sending an email to the email address associated with your account or via an in-product notification. These updated terms will be effective no less than 30 days from when we notify you.
  • If you do not agree to the updates we make, please email CM at [email protected] to discuss any questions you may have. By continuing to use or access the Services after the updates come into effect, you agree to be bound by the revised Terms. 

Missed and Rescheduled Sessions 

  • Consulting Sessions. You will be provided with online calendar booking links to schedule mastermind, accountability or consulting sessions with CM. It is your responsibility to organise, book and attend regular sessions as prescribed by CM. 
  • Late Notice Changes. If you miss your session for any reason, without giving 24 hours notice, the session will be considered a completed session and may not be replaced.
  • Late Start. If you are late in making a session, the session will end at its regularly scheduled time, and will be considered a completed session. 

General Provisions 

  • Warranties. You acknowledge that you are not relying on any warranties, promises, guarantees or representations made by CM or anyone acting or claiming to act on behalf of CM unless it is in writing and made part of this Agreement. All advertising material and all prior representations or Agreements, if any, whether oral or written, are hereby superseded by this Agreement. This Agreement contains the entire understanding and Agreement between you and CM and no addition or modifications of any terms shall be effective unless set forth in writing and signed by you and CM. No sales representative of CM has the authority to modify the terms of this Agreement.
  • Acceptance. By executing this Agreement, you agree to be bound by all the terms and conditions herein. Your execution of this Agreement will be required prior to commencement of any consulting sessions as contemplated by this Agreement. 
  • Subject to Change. Dates and times of sessions will be determined by CM.
  • Assignment. This Agreement may not be assigned to another individual or entity. 
  • Program Inclusions. The inclusions in your CM Program are outlined in the relevant member portal in Kajabi, and the individual program guides

Payments and Fees

  • Payment. Payment is made by direct debit via credit card. Any fees associated with the transaction process whilst using this direct debit service will be absorbed by CM. Your fees will be deducted monthly. 
  • Transaction Date. The date is automatically generated based on the inception date of your payments. A tax invoice/receipt will be forwarded to you on receipt of your payment.
  • Transactions Fees. You may be charged foreign or other transaction fees by your bank in connection with this purchase, and you agree that you will be responsible for such charges. 
  • Payment Account. You authorise CM to accept payment as directed by you, and authorise CM to charge your credit card on file, if any, for any and all amounts due pursuant to this Agreement. 
  • Investment. As a Clinic Mastery Member you authorise CM to charge your credit/debit card on file, for your subscription each month. 
  • Paid Correctly. You must pay each month in full and without set-off or deduction the full amount on the Instalment Payment Date. 
  • Six (6) or Twelve Month Upfront Payments. Membership upfront payments, either six (6) or twelve months are non-transferable and non-refundable.
  • Payments made under this Agreement must be made by the means specified by CM. 
  • If Payments are not made by the due dates, the Program access may be cancelled and no refund or credit will be given.

Credit Policy

  • CM provides a Credit Policy which provides terms and actions for opening credit accounts and establishing credit limits, reviewing and varying credit limits and maximizing collection of monies from debtors for good or services sold on credit. 
  • All requests for credit must go through a formal credit approval process prior to any account being opened with CM.

Indemnification

  • Indemnity. You agree to indemnify and hold harmless CM, and affiliated companies, their officers, directors and employees from any and all claims, demands, suits, expenses, costs, expenses, costs, judgements or other charges incurred by you as a result of your choice to participate in the Program as outlined by this Agreement. You will not hold CM or its Consultants or other employees responsible for any negligent actions or adverse results, whether known or unknown; that you may incur or suffer as a result of the Program you receive pursuant to this Agreement.

Disputes

  • Any controversy between you and CM arising out of, in connection with or related to this Agreement shall be submitted to final, binding and conclusive arbitration. The arbitration shall be administered by JAMS Arbitration Rules and Procedures then in effect. Any arbitration shall be held in Adelaide, South Australia and the laws of South Australia shall govern this Agreement. 

Confidentiality

  • All matters, information provided by and conversations shared between both parties during the term of this Agreement and thereafter will be completely confidential until such time as they may become available in the public domain. 
  • All correspondence, reports, information generated during the term of the Program will be kept in a secure location and secure facility. No persons excepting, CM Directors, Consultants and employees has access to your file. CM will only use such information to better prepare for sessions and at all times, keeping in mind your best interests. 
  • Shared Resources. By entering into this Agreement you are willing from time to time, to share your existing business Intellectual Property (resources), including but not limited to business systems, policies and procedures so that other members of the Program can benefit. CM will check with you before sharing such Resources. You consent for us to have perpetual, irrevocable and royalty free ownership to use and modify the Resources you share during this Agreement. You understand that you will be the beneficiary of similar Resources by other members and clients as part of the shared library. You understand that we will modify all Resources to protect your privacy and any sensitive information. 

Disclosure 

You acknowledge:

  • Any income claims shared by CM students, friends, or clients are understood to be true and accurate, but are not verified in any way.   Any products, programs, or personal recommendations made in this or any email communication from CM for 3rd parties will likely result in some form of compensation from said 3rd party.  
  • Always do your own due diligence and use your own judgement when making buying decisions and investments in your business. 
  • That neither Clinic Mastery Pty Ltd, any of our representatives or any person we engage to perform the workshop events or webinars (‘Relevant Persons’) is an investment adviser or licensed by ASIC or any other governmental authority to provide investment advice; 
  • That the Relevant Persons do not purport to provide investment advice or operate an investment advice business (as defined in the Corporations Act 2001); and we may pay commissions to third parties arising from your entering into this Agreement.
